Source Code Ownership Policy

1. Purpose
This Source Code Ownership Policy (“Policy”) explains the rights and responsibilities regarding source code, software, and digital products developed by PrimeByte Technologies (“we”, “our”, “us”) for clients (“you”, “client”).
It is designed to ensure clarity and transparency for clients purchasing our software development services.
2. Ownership of Source Code
Delivery Based on Agreement
Delivery of source code, scripts, or software assets is determined by the terms outlined in the project agreement.
The agreement specifies what will be delivered, when, and under what conditions, including payment milestones and scope.
Rights Granted to Clients
Upon fulfillment of the agreed terms (usually full payment or milestone completion), clients are granted rights to use the source code as specified in the project agreement.
Rights may include: using, modifying, or deploying the software internally.
Restrictions
- Clients may not resell, redistribute, or share the source code unless explicitly allowed in the agreement.
- PrimeByte Technologies reserves the right to reuse non-confidential, general-purpose code, libraries, and techniques in other projects.
- Clients do not gain ownership of PrimeByte Technologies’ pre-existing frameworks or tools unless specifically stated in the agreement.
3. Source Code Delivery
Source code will be delivered in accordance with the project agreement, typically via secure channels (e.g., Git repository, zip file, or cloud storage).
PrimeByte Technologies is not responsible for source code loss if the client does not securely store the delivered files.
4. Payment & Ownership Link
Ownership of deliverables, including source code, is strictly subject to the terms of the project agreement, usually contingent on full payment or milestone fulfillment.
Partial payments, canceled projects, or disputes do not grant ownership rights unless explicitly agreed.
This policy aligns with our No-Refund Policy, which applies to all payments made for services.
5. Intellectual Property
PrimeByte Technologies retains the intellectual property rights of general frameworks, libraries, and tools used across projects.
Clients receive rights only to the specific project code and deliverables as defined in the agreement.
6. Confidentiality
Both parties agree to maintain confidentiality of project details and source code until delivery and obligations under the agreement are met.
7. Governing Law
This Policy is governed by the laws of the Federal Republic of Nigeria. Any dispute regarding source code ownership shall be resolved under Nigerian law.
